Terms and Conditions

1 These Conditions
(1) In these terms and conditions the word “WILLOWGROVE” means Willowgrove Telecom. The words ‘The Customer’ shall mean the person, firm or Company purchasing or agreeing to purchase good or services from Willowgrove. The words ‘goods’ shall mean all equipment, spare parts or other goods, repairs or services to be provided to the Customer by Willowgrove. ‘These conditions’ shall mean the Terms and Conditions of sale set out herein.
(2) All agreements by which Willowgrove agrees to supply goods and services to the Customer shall be subject to these Conditions notwithstanding any variation or attempted variation of these Conditions made by the Customer in its order form or otherwise and save as provided by clause 1(3) of these Conditions the making of an order by the Customer for the goods or services supplied by Willowgrove shall for all purposes be deemed to be acceptable by the Customer of these Conditions to the exclusion of any other Terms and Conditions. Any brochure or paperwork in which these Terms and conditions are incorporated shall constitute an invitation to treat by Willowgrove and any order placed by the Customer shall constitute an offer for goods incorporating these Conditions made by the Customer which Willowgrove in its discretion accepts in writing or by telephone, fax or email. No cancellation of any order by the customer shall be valid unless made in writing and accepted in writing by Willowgrove .
(3) No variation of these Conditions is permitted unless expressly given in writing by a duly authorised officer of Willowgrove.

2 The Goods
(1) All descriptions, drawings and particulars relating to the goods in any catalogue, leaflets, brochures or other documents are for illustrative purposes only and do not form part of the agreement between Willowgrove and the Customer.
(2) All representations as to the performance of the goods are based on information supplied by the Manufacturer of the goods and relate to their performance in normal conditions and when used correctly.
(3) Willowgrove reserves the right to change prices at any time without prior notice.

3 Deliveries and Risk.
(1) Unless otherwise expressly agreed, the prices shown in the current price list of Willowgrove is exclusive of VAT and the cost of delivery, which will be charged at Willowgrove’s normal rates.
(2) The time for delivery or installation of the goods is not of the essence. The agreed dates for delivery or installation are estimates only and failure by Willowgrove to comply with them shall not be a breach of these Conditions. Willowgrove recommend that no employees, or contractors be committed to site until confirmation is received that goods have been delivered.
(3) The goods shall be at the Customer's risk at the time of delivery, or if the customer has arranged to collect the goods, at the time of collection. The Customer is required to inspect the goods on receipt and notify Willowgrove of any defects or complaints within 24 hours of receipt. To validate a "damage in transit" claim please retain the consignment in the condition it was delivered, with the packaging intact.

4 Properties in the Goods
(1) All equipment shall remain the sole and absolute property of Willowgrove and title to and legal ownership of the goods shall not pass to the Customer until payment is received and cleared by Willowgrove of all monies due from the Customer to Willowgrove in respect of all goods supplied by Willowgrove to the Customer. The Customer acknowledges that until such payment is made in full it is in possession of the goods solely as a fiduciary of Willowgrove .
(2) Until title to the goods passes to the Customer the goods shall be kept distinct from all other property of the Customer and of third parties and in good condition and stored in such a way as to be clearly identifiable as belonging to Willowgrove.
(3) The Customer will not cause or permit or suffer any labels, badges, serial numbers or other means of identification of the goods to be removed or obscured.
(4) Willowgrove may for the purpose of recovering its goods enter upon any premises where they are stored or where they are reasonably thought to be stored and may repossess the same.


5. Warranty
(1) Reconditioned equipment carries a 3 months warranty from the date of receipt. Reconditioned goods, which have been sold at less than the published trade price (i.e. discounted goods) only carry a one month warranty. This will be negotiated with the customer at the point of sale and recorded on the invoice and dispatch paperwork. All new products are covered by manufacturer’s warranty.
(2) Advance replacements are provided solely at the discretion of Willowgrove.
(3) Goods returned under warranty will be repaired, replaced or credited in that order. Credits will be at the original invoice value, less shipping costs.
(4) Willowgrove accepts no responsibility for loss of time or business due to faulty equipment.

6. Warranty Exceptions
(1) Returns will only be accepted from the Customer who originally purchased the equipment from Willowgrove.
(2) Reconditioned equipment will only be accepted if it carries an Willowgrove Anti-Tamper Label. Willowgrove will not guarantee any equipment which has been tampered with. Any removal or damage to Willowgrove Anti-Tamper labels will result in the guarantee on the equipment becoming void.
(3) All warranties cover fair wear and tear only. Damage caused by Electrical Surges, lightening damage, liquid damage, breakage and misuse will not be accepted.
(4) Faulty software cannot be refunded but will be exchanged.
(5) It is the customer’s responsibility when purchasing large systems to resell to ensure that software is re-licensed with the manufacturer where applicable and where possible the equipment should be tested by the customer before going to site.


7. Liability of Willowgrove
(1) Willowgrove stall not be liable for any financial consequential or indirect loss suffered by the Customer or any third party whether such a loss arises from breach of duty in contract or tort or in any other way including without limitation to the generality of this exclusion, loss of profits, economic loss, loss of goodwill, loss of contracts, loss of data, damage to the property of the Customer or anyone else and personal injury to the Customer or anyone else.
(2) To be valid any claim against Willowgrove whether in contract or in tort must be brought within 12 months of the date of the invoice and any such claim shall be limited to an amount by way of liquidated damages equal to the invoice value of the goods in respect of which the claim is made.

8. Force Majeure
(1) Willowgrove shall not be liable to the Customer for any failure to perform its obligation due to any circumstances beyond its control (including without imitation strikes, lock-outs, industrial disputes, delays caused by manufacture of goods, riots, civil disturbances, war or war like activity, embargoes, fire, explosion, flood or other natural causes) and in such an event Willowgrove may elect by written notice to cancel any agreement with the Customer or elect that the timer of performance shall be extended until such a time as Willowgrove can reasonably effect performance.

9. Law and Jurisdiction
(1) These Conditions shall be governed by and construed in accordance with English Law.


RETURNS POLICY

Willowgrove reconditioned equipment carries a 3 months warranty. New Products carries a manufacturer’s warranty. If purchased at a new product price.

1. Before returning any goods contact our office and request an authorisation returns number.
2. You are required to supply the date of purchase, invoice number, serial number and a reason for return or fault report.
3. If an advance replacement is required, please ensure that the item to be returned is ready for Willowgrove carrier to collect and the returns number to be clearly visible on the outside of the box.
4. When sending the goods to Willowgrove, please mark the Parcel RETURNS DEPARTMENT and the RETURNS NUMBER is to be clearly marked on the outside of the box.

Willowgrove will not accept any returns without an authorised returns number.
When returning reconditioned equipment you will need to note the items warranty number which is anti-tamper attached to each item (on telephones the label will be found on the base). If the label is not on the item it was not supplied by Willowgrove

All reconditioned goods returned under warranty to Willowgrove, will be repaired, replaced or refunded in that order. On replacement goods a new invoice will be raised to keep all stock records correct . The value of the credit note will be the same amount as the original invoice. Returns will not be accepted outside the guaranteed period of 3 months.

Advance Replacement
Should reconditioned equipment become faulty during the warranty period Willowgrove can arrange an advance replacement of the faulty goods. All advance replacements are supplied at Willowgrove's discretion. If replacement goods are not available, standard returns procedures will apply. When an advance replacement is dispatched the customer will be charged for the replacement goods as per the original invoice. Willowgrove will issue a credit note upon the return of the faulty item. Faulty goods, which receive advance replacement and are not collected by Willowgrove must be returned within 14 days of receipt of the replacement.

No Fault found on Returned items
If no fault is found or warranty exceptions (see terms & conditions) are applied, the goods will be returned to the customer. A charge of £10.00 plus vat will be made to cover the cost of inspection. If goods have been advance replaced then the goods will be returned to the Customer and the invoice for the replacement goods and cost of carriages to and from site will become payable immediately.

Goods ordered in Error
Goods ordered in error can only be returned within 5 working days of despatch date. The following minimum handling charges apply £15.00 or 10% of invoice value and you must follow the returns procedure. All goods ordered in error must be returned complete with all original packaging and documentation in an ‘as supplied’ condition.

Goods supplied in Error
Willowgrove will correct any errors in goods ordered where a written Purchase Order was supplied by fax or email. However Willowgrove cannot accept liability for errors in goods which were ordered verbally or the delivery address was given verbally.
